A “Qualified Customer” is any entity or private person included in the 1st supplement who qualifies – a mutual fund or a management company thereof, a provident fund or a management company thereof, an insurance company, a banking entity, a licensed (portfolio manager, investment advisor or a marketer), stock broker, a registered underwriter, an entity with a capital in excess of 50 million NIS, or a private person which answers at least 2 of the following conditions: (i) total worth of his liquid assets (cash, deposits, securities and financial assets) is 12 million NIS and above; (ii) he has expertise in the capital market (or was employed for at least 1 year in a position that requires expertise in the capital market); (iii) initiated at least 30 transactions in securities in average, in each calendar quarter for the past 4 quarters (note – only the private person’s declaration stating that he answers 2 out of the 3 above terms and his agreement to be considered a “Qualified Customer” is required), and – an entity wholly controlled by any of the above or a foreign entity which answers any of the above terms.
